Terms of Service

1. Scope and provider
These Terms govern access to and use of Responello, a service provided by Matikus, Lda., Startup Madeira – EV 289, Campus da Penteada, 9020-105 Funchal, Madeira, Portugal, NIPC 519 513 630. By creating an account after being shown these Terms, you agree to them. If you use Responello for an organisation and name it in your account, that organisation is the contracting party and you confirm that you have authority to bind it. Merely visiting this website does not create a paid subscription.
2. The Responello service
Responello lets account holders create tracked call-to-action buttons, embed them in email signatures or other permitted locations, receive confirmed interaction alerts through configured channels, and review related analytics. Usage limits are described on the pricing page.
Responello is a communication tool, not an emergency, safety-critical, medical, legal, or financial service. You must not rely on it where delayed or failed delivery could cause harm.
The workspace requires an internet connection and a current browser with JavaScript and necessary authentication cookies enabled. Signature buttons require an email editor that supports HTML signatures or links; rendering and installation vary between email clients. Notification delivery requires an active supported channel and access to its provider. Paid access starts after checkout confirmation reaches Responello and continues for the trial or paid period, subject to applicable usage limits. At a usage limit, further activity may be recorded while alerts pause as explained on the pricing page.
3. Accounts and security
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your password and notification-channel credentials and for activity performed through your account.
- You must notify us promptly at responello@matikus.com if you suspect unauthorised access.
- You must be at least 18 years old or otherwise legally able to enter into this agreement.
4. Customer content and privacy obligations
You retain your rights in button text, messages, destination details, and other content you submit. You grant Matikus, Lda. the limited permission needed to host, process, transmit, and display that content solely to operate Responello.
You are responsible for ensuring that your content, button placement, contact-form use, and notification destinations comply with applicable law and do not infringe third-party rights. Where you collect personal data through Responello, you must provide an appropriate privacy notice and establish a valid legal basis.
Where Matikus processes personal data on your behalf as a processor, our Data Processing Agreement (DPA / AVV) under Article 28 GDPR forms part of these Terms. You accept it together with these Terms when you create your account, without a separate signature. If your account accepted an earlier version of these Terms, a DPA already concluded for it remains in effect until you expressly accept the updated Terms or DPA. You can optionally record your organisation details and notification destinations in your account to receive a personalised copy. Only enable destinations authorised for the personal data they will receive, including contact details and message content.
5. Acceptable use
You must not use Responello to:
- Send spam, facilitate phishing, impersonate another person, or mislead recipients about a button’s purpose.
- Collect special-category data, payment-card data, passwords, or other information that Responello is not designed to receive.
- Distribute malware, violate intellectual-property or privacy rights, or engage in unlawful, abusive, or fraudulent activity.
- Probe, bypass, disrupt, reverse engineer, or overload the service or its security and usage controls, except where applicable law expressly permits it.
- Use automated traffic or repeated interactions to manipulate analytics or quotas.
6. Plans, payment, and renewal
Responello offers Starter and Pro monthly or annual subscriptions with a 14-day free trial for eligible accounts. One trial is available per account. Creating a new account does not give you another trial while a free-trial check value is retained for the same email address. This check value is retained for 24 months from recording, including after account deletion, as explained in our Privacy Policy. If you are not eligible, the regular subscription price and first payment date are shown before you confirm checkout. New accounts can preview a button before subscribing; notification delivery requires Starter or Pro. New subscriptions are priced at EUR 12/month or EUR 120/year for Starter, and EUR 24/month or EUR 240/year for Pro, including applicable VAT. Included limits, billing period and renewal details are shown before checkout. The price and tax terms agreed at checkout apply to your subscription. For a Custom plan, the individually agreed limits and price are shown before checkout; these Terms otherwise apply unchanged. Usage limits reset as described in the product interface.
The trial starts only when you confirm checkout and provide a payment method. No subscription payment is collected during the free trial. Unless you cancel before the first payment date shown at checkout, your selected subscription begins automatically and your payment method is charged for the monthly or annual billing period. We send an email reminder three days before the trial ends. You can manage or cancel your subscription from Billing in your account. Returning subscribers who have already used a trial or had a subscription pay the price shown at checkout without a new trial.
When Starter or Pro access ends, accounts return to preview mode unless they have Free access. Saved designs and account access remain available. For accounts with Free access, the allowance is 1 active button, 1 active notification channel and 30 confirmed clicks per calendar month. Notification delivery pauses at the monthly limit until the next calendar month. Resources above the applicable limits may be archived or deactivated without being deleted.
Paid transactions are completed through Creem / Armitage Labs OÜ. Creem acts as merchant of record and contractual seller for the transaction, processes payment, calculates and collects applicable taxes, issues invoices, and handles payment-related administration. Creem’s buyer terms presented during checkout also apply to the purchase.
Unless the checkout states otherwise, subscriptions renew for the selected billing period until cancelled. Cancellation and refund options are governed by the information presented at checkout, Creem’s applicable buyer terms, and mandatory consumer law. Nothing in these Terms limits statutory cancellation, withdrawal, refund, or warranty rights.
Refunds: apart from the statutory withdrawal right described in section 7 and other mandatory consumer rights, payments for a billing period that has already started are not refunded, in whole or in part. Cancelling stops future renewals. You can cancel from Billing in your account, or in the Creem order portal using the email address of your purchase. 7. Consumer withdrawal
If you purchase as a consumer in the EU or EEA, you generally have 14 days from conclusion of the service contract to withdraw without giving a reason. A free trial and cancellation of future renewal are separate from this statutory right. Starting to use an ongoing Responello subscription does not by itself remove your withdrawal right.
For a purchase through Creem, send a clear statement that you wish to withdraw to the seller, Armitage Labs OÜ, Rotermanni 14, Tallinn 10111, Estonia, at support@creem.io. You can copy responello@matikus.com for product support. Send your statement before the withdrawal period expires. The model below is optional; any unequivocal statement is sufficient. For a separate service agreement directly with Matikus, send your statement to Matikus at the address above or responello@matikus.com.
Following a valid withdrawal, the seller must reimburse payments without undue delay and within 14 days of being informed, using the original payment method unless you expressly agree otherwise, without a reimbursement fee. A proportionate charge for service already supplied is possible only where the applicable legal requirements are met, including your express request to start during the withdrawal period and the required information. There is no subscription charge for use during the advertised free trial. Nothing here reduces a longer or more favourable mandatory right.

- Signature of consumer(s), only if this form is sent on paper; date. Delete wording that does not apply.
An email link opens your email application. You must send the message to submit it; opening a draft does not submit a withdrawal or cancel a subscription.
8. Service conformity and remedies
Consumers retain statutory rights if the digital service is not supplied or does not conform to the contract, including the right to have it brought into conformity and, where the legal conditions are met, a proportionate price reduction or termination and reimbursement. Necessary conformity and security updates must be provided for the legally required period. Report problems to responello@matikus.com with a description and relevant order reference; Creem can also assist with the purchase and payment remedy. A disclaimer about availability or third-party destinations does not exclude these rights.
9. Availability and changes
We aim to keep Responello available and reliable but do not promise uninterrupted or error-free operation. Maintenance, security incidents, upstream provider failures, or events outside our reasonable control may affect availability. Changes beyond those necessary to maintain conformity require a valid reason, such as security, legal requirements, or compatibility with supported providers, and must not impose an additional charge on consumers. We inform you clearly about such changes. Where a change negatively affects access or use beyond a minor impact, we provide advance information on a durable medium and the statutory right to terminate free of charge within 30 days of the information or change, whichever is later, unless the law permits us to preserve the conforming unchanged service at no extra cost.
10. Suspension and termination
You may stop using Responello and delete your account through the account area. Before deleting an account with a renewing subscription, cancel that subscription from Billing so that no further payments are collected. We may restrict or suspend access when reasonably necessary to address security risks, unlawful use, non-payment, material breach, or harm to Responello or others. We may terminate an account for a material breach that is not remedied after notice, or immediately where delay would create material risk or where required by law.
11. Liability
Matikus, Lda. remains liable where liability cannot lawfully be limited, including for intent, gross negligence, death or personal injury caused by negligence, and mandatory consumer rights. To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost business opportunities, or failures caused by customer-configured third-party destinations or other services outside our reasonable control.
12. Governing law and disputes
These Terms are governed by Portuguese law. This choice does not deprive consumers of mandatory protection afforded by the law of their habitual residence where applicable. The courts of Portugal have jurisdiction, except where mandatory consumer law gives you the right to bring a claim in another competent court. You may contact responello@matikus.com to try to resolve a concern informally, but doing so is not a prerequisite for exercising statutory rights.
13. Changes to these Terms
We may update these Terms to reflect service, provider, security, or legal changes. The current version and update date are published here. If a material change affects an existing paid subscription, we will provide reasonable advance notice where required. Where a change requires your agreement, we ask you to accept it in your account; until then, the version you accepted continues to apply.
